Most of our Products are delivered to you online in a digital format. To access certain Products, you may be required to establish a Customer Account by providing information about yourself including your name, current email address, username, password, and other personal data, which you must treat as confidential.  You agree that any such information you give to MY BABY EXPERTS will always be accurate, correct, and up-to-date; otherwise, we will not be able to deliver essential details about your Product purchase(s) to you.

You agree that the Products, including any materials contained therein, any usernames or passwords, may only be used by you – the individual who is the customer on record with MY BABY EXPERTS – as permitted herein and may not be sold or distributed without our express written consent.

 

Product Payments

You agree to make timely and full payments to the MY BABY EXPERTS for purchased Product(s) (regardless of whether you selected to pay for the Product(s) in whole or with a monthly subscription plan).

You authorize us to automatically charge the credit card on file for all payment balances owed, and you agree to keep this information current and up-to-date with MY BABY EXPERTS. If any payment is insufficient or declined for any reason, we may revoke your access to the Products, without a refund.

 

Refund Policy

We stand behind our products and your satisfaction with them is important to us. However, because our products are digital and viewed via the internet, we do not offer refunds.​

Product Account Usage

1. Personal Use Only
By purchasing our personal Simply Breastfeeding or All Course Bundles on our platform, you agree that the account is for your personal use only and is intended for individual users. Any sharing of your personal account or utilizing it for business purposes is strictly prohibited.

2. Upgrade to Professional Account/License:
If you intend to use our Product(s) for business purposes, you must purchase a Professional Account/License and the appropriate license that corresponds to your business needs (ie. Single Admin/Location, Up to 3 Admin/Locations or Up to 5 Admin/Locations or Custom Plan). Each admin and center location require a separate account and my not be shared between locations. These additional admin accounts are intended for use by designated employees of your organization only. Failure to do so will be considered a violation of these Terms and Conditions.

3. Access Restrictions:
Under no circumstances should clients or external parties be provided with direct access to any Professional Account, Admin, or personal user accounts associated with our platform. The access to admin accounts is exclusively reserved for the internal management and operation of your organization which you have registered with us when purchasing your Professional License. 
4. Account Termination:
We reserve the right to terminate your account, without prior notice, if we, including but not limited to, suspect or discover any evidence of account sharing or unauthorized business usage on Personal accounts, sharing direct access to your account, or otherwise attempting to circumvent these Terms and Conditions. Such termination may occur at our sole discretion, and no refunds or compensation will be provided in the event of account termination due to these violations.

5. Definition of Businesses:
For these Terms and Conditions, "businesses" include, but are not limited to:

Pregnancy Centers: Facilities or organizations that provide pregnancy-related services and support.

Hospitals: Healthcare institutions offering medical treatment and services to patients.

6. Security and Confidentiality:
You are also responsible for maintaining the security and confidentiality of account credentials to prevent unauthorized access or misuse. It is essential to safeguard sensitive information and ensure that it is not accessible to clients or any unauthorized individuals.

Intellectual property policies

Unless otherwise indicated, the Site and Products are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.  The Content and the marks provided on the Site “AS IS” for your information and personal use only.  Except as expressly provided in these Terms of Use, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Campaign and Giveaway Terms

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING.

The provided "Prize Shipping Address" when filling out the Prize Claim Form must be your physical United States address where You reside. Business addresses and PO boxes will not be accepted and will cause You to forfeit Your prize. Subject to verification as outlined in the proceeding "4. Verification for Prize Fulfillment".

You may enter only once. You must provide the information requested. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. If You use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of My Baby Experts.

4. Verification for Prize Fulfillment: My Baby Experts reserves the right to screen any and all information needed for verification by You and deny anyone from participating in The Campaign at any time and at My Baby Experts' sole discretion, and without recourse. You will be required to provide all, but not limited to, of the following information for verification purposes: (a) United States issued identification that is not expired, (b) address, (c) social media profile(s), and (d) date of birth (contingent under “Eligibility” and "Agreement to Rules").

In connection with a subsequent Entry into any limited date/promotional Campaigns, You will be required to provide additional information containing but not limited to those laid out above and under the “Eligibility” and "Agreement to Rules". Required Information provided by You must be accurate and current as of the date of initial registration and as of each subsequent Entry into any limited date/promotional Campaigns.

If My Baby Experts determines at any time in its sole discretion that a winner or potential winner, You, is ineligible or in violation of these Giveaway Rules/Terms and Conditions, My Baby Experts reserves the right in its sole discretion to disqualify You, even if he or she has been notified or announced as a winner and the prize(s), if any, will be forfeited. 5. Prizes: Prizes will be announced at the time of the giveaway and are subject to change at the sole discretion of My Baby Experts. The specifics of the prize shall be solely determined by My Baby Experts. No cash or other prize substitution shall be permitted except at My Baby Experts' discretion. The prize is non-transferable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of the Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted. Acceptance of the prize constitutes permission for My Baby Experts to use the Winner’s name, likeness, and entry for purposes of advertising and trade without further compensation unless prohibited by law.

My Baby Experts will not replace any lost, mutilated, or stolen prizes or prize elements or any prize elements that are undeliverable or do not reach You because of, but not limited to, an incorrect or changed address or other contact information. Prizes will be mailed only to the address provided by You when filling out the Prize Claim Form, within the United States as outlined within these Giveaway Rules/Terms and Conditions.

6. Odds: The odds of winning depend on the number of eligible entries received.

7. Winner Selection and Notification: Winner/s will be selected by a random drawing under the supervision of My Baby Experts. The winner will be notified by text message/email within five (5) days following the selection of the Winner. Limited License

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.

(1) THE SITE AND PRODUCTS WILL MEET YOUR REQUIREMENTS.

(2) THE SITE AND PRODUCTS WILL BE UNINTERRUPTED, TIMELY SECURE, OR ERROR-FREE.

(3) THE RESULTS OF USING THE SITE AND PRODUCTS WILL BE ACCURATE OR RELIABLE.

(4) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH YOUR USE OF THE SITE AND PRODUCTS WILL MEET YOUR EXPECTATIONS.

(5) THAT THE SITE AND PRODUCTS WILL BE ERROR-FREE, AND ANY ERRORS IN THE SITE AND PRODUCTS WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH OR FROM THE SITE AND PRODUCTS SHALL CREATE A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OF SERVICE.

 

Limitation of liability

TO THE EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES, OR PERSONAL INJURY OR DEATH), WHETHER ARISING IN CONTRACT, WARRANTY, TORT, PRODUCT LIABILITY, OR OTHERWISE AND EVEN IF WE’VE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES IN ADVANCE. OUR LIABILITY TO YOU OR ANY THIRD PARTIES UNDER ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF SIXTY DOLLARS ($60) OR THE AMOUNT YOU HAVE PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO YOUR CLAIMS.

 

Indemnification

You agree to indemnify, defend, and hold harmless MY BABY EXPERTS (including its affiliates and suppliers) from any liability, loss, claim, and expense (including attorneys’ reasonable fees) related to (i) your violation of this agreement, and (ii) your posting of material to this site and/or products.

 

Refusal of service

We reserve the right to refuse access to the Site and Products to any person or entity, without the obligation to assign a reason for doing so. We reserve the right to immediately remove you from the Site and Products, without refund, if you violate these Terms of Service or other agreements governing your use of the Site and Products.

 

Relationship of the parties

You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us by your use of the Site and Products.  Furthermore, no professional-client relationship is formed between you and the Company by your use of the Site and Products, unless you and the Company entered into a separate written agreement indicating our intention of entering into a professional-client relationship with you.

 

Governing law

The Terms of Service shall be governed by the laws of the State of New Jersey, and more particularly the jurisdiction shall be Morris County.

 

Dispute resolution

If a dispute arises under these Terms of Service, we agree first to try to resolve the dispute with the help of a mutually agreed-upon mediator in Morris County, New Jersey. Any costs and fees associated with the mediation, other than attorney fees, will be shared equally by both of us.

If the dispute is not resolved within thirty (30) calendar days after it is referred to the mediator, it shall be settled exclusively by submitting to binding arbitration in Morris County, New Jersey. A party electing arbitration must initiate proceedings by filing an arbitration demand with the American Arbitration Association (AAA). Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction to do so. Costs of arbitration, including attorney fees, will be allocated by the arbitrator.

If any court action is necessary to enforce these Terms of Service, the prevailing party will be entitled to reasonable attorney fees, costs, and expenses in addition to any other relief to which the party may be entitled.

 

Recovery of litigation expenses

If any legal action, arbitration, or other proceeding are brought for the enforcement of the Terms of Service, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of the Terms of Service, the prevailing party or parties shall be entitled to recover reasonable attorneys’ fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.

 

Waiver

MY BABY EXPERTS waiver of any of the provisions of these Terms of Service shall not be deemed, nor shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by an authorized representative of the Company.

 

Severability

If any term, provision, covenant, or condition of the Terms of Service is held by any arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Terms of Service shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.

 

Assignment

These Terms of Service bind and inure to the benefit of the party's successors and assigns. These Terms of Service are not assignable, delegable, sub-licensable, or otherwise transferable by you. Any transfer, assignment, delegation, or sub-license by you is invalid. MY BABY EXPERTS may assign its rights and duties under these Terms of Service to any party at any time without notice to you.

 

Entire agreement

These Terms of Service, along with the Privacy Policy, and any other written agreement that governs your use of our Site and Products, constitute the entire agreement between you and MY BABY EXPERTS with respect to the Site and Products and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and the Company with respect to the Site and Products.
